Terms of Service

1. Acceptance of Terms

By accessing or using the Baseet platform at baseet.cc ("the Platform"), including all subdomains, dashboards, APIs, and associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms apply to all users, including store owners ("Merchants"), their customers ("Shoppers"), and administrators.

2. Platform Description

Baseet is a white-label SaaS e-commerce platform that allows Merchants to create online stores, manage products, process orders, accept payments, and run marketing campaigns. The Platform provides hosted storefronts under the baseet.cc domain (e.g., mystore.baseet.cc) or custom domains.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old (or the legal age in your jurisdiction) to create a Merchant account.
• One person or entity may not maintain multiple accounts without our written consent.
• You are responsible for all activity that occurs under your account.

4. Merchant Responsibilities

As a Merchant using Baseet, you agree to:

• Comply with all applicable local, national, and international laws and regulations.
• Ensure your products and services do not violate any laws, including consumer protection, intellectual property, and export control regulations.
• Provide accurate product descriptions, pricing, and availability information.
• Handle customer orders, fulfillment, and support in a timely and professional manner.
• Obtain all necessary business licenses and tax registrations for your jurisdiction.
• Not use the Platform to sell prohibited items (see Section 5).

5. Prohibited Content & Activities

You may not use the Platform to sell, promote, or distribute:

• Illegal goods or services in any applicable jurisdiction.
• Counterfeit, stolen, or unauthorized replica products.
• Weapons, ammunition, or explosives.
• Controlled substances, drugs, or drug paraphernalia.
• Adult content, pornography, or sexually explicit material.
• Content that promotes violence, hate speech, or discrimination.
• Pyramid schemes, multi-level marketing, or fraudulent offers.
• Products that infringe on intellectual property rights.

We reserve the right to remove any content and suspend or terminate accounts that violate these prohibitions, without prior notice.

6. Payments & Fees

• Baseet offers subscription plans with different feature tiers. Plan details and pricing are available on our website.
• Payment processing is handled by third-party providers (Stripe, Paymob, PayPal). Transaction fees are set by these providers.
• Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
• We may change our pricing with 30 days' notice. Continued use after the notice period constitutes acceptance.
• Merchants are responsible for all taxes associated with their sales.

7. Third-Party Integrations

The Platform offers integrations with third-party services including social media platforms (Facebook, Instagram, TikTok, X/Twitter, YouTube), payment processors, and shipping providers.

• Your use of third-party integrations is subject to the respective third party's terms and privacy policies.
• We act as a technical intermediary and are not responsible for third-party service availability, data handling, or fees.
• You authorize Baseet to access your third-party accounts within the scope of permissions you grant during OAuth authorization.
• You may disconnect integrations at any time through the dashboard.

8. Intellectual Property

• The Baseet platform, including its code, design, features, and branding, is our intellectual property and is protected by copyright and trademark laws.
• Merchants retain full ownership of their store content (products, images, descriptions, branding).
• By uploading content, you grant Baseet a non-exclusive, worldwide license to host, display, and distribute your content solely for the purpose of operating the Platform.
• You represent that you own or have the right to use all content you upload.

9. Data Processing & Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Platform, you acknowledge and agree to our data practices as described therein.

Merchants act as data controllers for their customer data. Baseet acts as a data processor on behalf of Merchants for order and customer data. Merchants are responsible for their own compliance with applicable data protection regulations (e.g., GDPR, CCPA).

10. Availability & Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for any losses resulting from downtime.

11. Limitation of Liability

To the maximum extent permitted by law, Baseet and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Platform.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid to Baseet in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Baseet from any claims, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) content you upload or transactions you conduct through the Platform.

13. Termination

• You may cancel your account at any time through the dashboard or by contacting support.
• We may suspend or terminate your account for violation of these Terms, with or without notice.
• Upon termination, your right to use the Platform ceases immediately.
• We may retain your data for a reasonable period as required by law or legitimate business purposes.
• Provisions that by their nature should survive termination (including liability, indemnification, and dispute resolution) will survive.

14. Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction where Baseet is registered.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Continued use after the effective date constitutes acceptance of the modified Terms.
